Recurpot Terms of Service

Recurpot is a meal subscription and food supply platform based in Lagos, Nigeria. Recurpot is a brand of Valueklip Limited (RC-7742793), a company registered in Nigeria. References to "Recurpot," "we," "us," or "our" in these Terms mean Recurpot by Valueklip Limited.

• "Subscriber" or "you" means any individual or organization that purchases or uses a Recurpot meal subscription.
• "Meal Plan" means a specific subscription package, such as Sorted, Ease, Steady, Settled, or Assured, or any other plan published by Recurpot from time to time.
• "Delivery Window" means the timeframe within which a meal is scheduled to be delivered to a subscriber.
• "Rollover" means the carrying forward of an unused or skipped meal to a future delivery date, as described in Section 10.
• "Vendor" means an independent food vendor partnered with Recurpot to prepare meals.
• "Delivery Partner" means an independent delivery company or individual partnered with Recurpot to deliver meals.
• "Third-Party Platform" means any external platform used to receive, validate, process orders or process payments.

To subscribe to Recurpot, you must be at least 18 years old, and you must have the legal capacity to enter into a binding contract. By subscribing, you confirm that all information you provide, including your name, contact details, and delivery address, is accurate and current. You are responsible for promptly updating your information if it changes, since inaccurate delivery information may result in delayed or failed delivery.

We use third-party platforms to receive, validate, and process orders and payments, including but not limited to Moniepoint, Flutterwave, and Paystack. When you use these platforms to place an order or make a payment, you are also subject to that platform's own terms and privacy policy. Recurpot is not liable for any errors, delays, security issues, or other events that occur on third-party platforms, including payment processing failures or data handling by those platforms.

Recurpot partners with independent food vendors and delivery companies to prepare and deliver meals to subscribers. We require all partner vendors to adhere to our food safety and quality standards. While we take reasonable steps to monitor and enforce these standards, meals are prepared and delivered through third parties, and Recurpot's role is to coordinate and oversee this network on your behalf.

All meal subscriptions must be booked at least 48 hours before the first scheduled delivery. Orders placed with less than 48 hours' notice before the intended start date may not be accepted or may be scheduled for the next available delivery window.

The minimum subscription available is the Sorted plan, our 1-day meal plan. Additional plans of longer duration are available as published on our website or ordering platform from time to time. Subscribers select or curate their meals from the menu options available for their chosen plan.

We make reasonable efforts to offer a variety of menu options across our subscription plans. However, we do not guarantee that a specific variety of menu items will always be available. Menu availability may vary based on vendor capacity, ingredient sourcing, and demand.

Subscribers may skip or pause meals within their active subscription, subject to the following notice periods:

• 2-Day and 3-Day plans: at least 24 hours' notice before the affected delivery.
• 5-Day, 7-Day, and 2-Week plans: at least 48 hours' notice before the affected delivery.
• 1-Month and 2-Month plans: at least 1 weeks' notice before the affected delivery.
• 1-Day plan (Sorted): skipping or pausing is not available on this plan.

Requests to skip or pause must be made through the official Recurpot contact channels listed in Section 18.

All meal plans (except where stated otherwise) come with a rollover option. Any unused or skipped meal will be rolled over to a future delivery date, even if the original subscription period has expired. Meals cannot be rolled over beyond 30 days of the initial expiry date. Any unused meal rolled over beyond 30 days of the original subscription's expiry will be priced at the current market rate for meal subscriptions at the time of redelivery, and additional payment may be required before the meal is delivered.

At this time, Recurpot does not offer cancellation of an active subscription or refunds of any amount paid. Subscribers should review their chosen plan carefully before payment, as all sales are considered final subject to the rollover provision in Section 10. Nothing in this section limits any statutory right you may have under applicable Nigerian consumer protection law that cannot lawfully be excluded by agreement.

Payment for subscriptions is made through third-party payment platforms, including but not limited to Moniepoint, Flutterwave, and Paystack. For bulk orders beyond our standard subscription plans, customers may contact us directly to arrange payment through Valueklip Limited's corporate bank account.

Meals are delivered to the address you provide at the time of subscription, within the delivery window communicated to you. You, or someone authorized by you, must be reasonably available to receive the meal at the agreed time and location. Risk in a meal passes to you upon delivery to the address provided. If you are unavailable to receive a delivery, we will make reasonable efforts to reschedule, but repeated unavailability may affect your ability to use the skip, pause, or rollover provisions for that delivery. You should inspect your meal upon receipt and report any quality or safety concern to us immediately through the contact channels in Section 18.

Recurpot requires its partner vendors to follow our food safety and quality standards. However, meals are prepared in facilities that may process common allergens, including but not limited to nuts, dairy, gluten, and seafood. If you have a food allergy, intolerance, or medical dietary requirement, you must disclose it accurately at the time of subscription. Recurpot and its vendors are not liable for adverse reactions arising from allergies or conditions that were not disclosed to us in advance. Diet-specific plans, such as fitness, vegan, or diabetic options, are prepared according to general dietary guidelines and are not a substitute for individual medical advice.

Subscribers agree to provide accurate delivery information, be reasonably available to receive meals at the agreed time and location, and use Recurpot's services only for lawful, personal, or organizational purposes consistent with these Terms. You may not resell or commercially redistribute meals obtained through Recurpot without our written consent, misuse or abuse the skip, pause, or rollover features, provide false or misleading information when subscribing, or engage in fraudulent, abusive, or disruptive conduct toward Recurpot staff, vendors, or delivery partners.

The Recurpot name, logo, brand assets, website content, and related materials are the property of Valueklip Limited and are protected by applicable intellectual property laws. You may not copy, reproduce, modify, or use Recurpot's brand assets or content without our prior written consent.

Recurpot may suspend or terminate your access to our services if you breach these Terms, provide false information, misuse the skip, pause, or rollover features, engage in fraudulent activity, or fail to make payment through an approved Third-Party Platform. Suspension or termination does not entitle you to a refund, though any validly accrued rollover meals will be treated in accordance with Section 10 to the extent operationally possible.

Our collection and use of your personal data is described in our Privacy Policy, available on our website. By using Recurpot, you also agree to the terms of our Privacy Policy.

Recurpot's services are provided on an "as is" and "as available" basis. While we take reasonable steps to ensure meal quality and delivery reliability through our vendor and delivery partner standards, we do not guarantee that our services will be uninterrupted, error-free, or that every meal will meet your individual expectations on every occasion. To the extent permitted by law, we disclaim all warranties not expressly stated in these Terms.

To the maximum extent permitted by law, Recurpot's total liability arising from or related to any dispute, claim, or subscription shall not exceed the total subscription amount paid by the customer for the plan in question.

You agree to indemnify and hold Recurpot, Valueklip Limited, and our vendors and delivery partners harmless from any claim, loss, or liability arising from your breach of these Terms, your misuse of our services, or inaccurate information you provide, including undisclosed allergies or dietary requirements.

Recurpot shall not be liable for any delay or failure to perform our obligations where such delay or failure results from causes beyond our reasonable control, including but not limited to fuel scarcity, industrial action, extreme weather, power outages, civil unrest, government action, or other similar events.

Nothing in these Terms is intended to exclude or limit any right you have under the Federal Competition and Consumer Protection Act 2018 or other applicable Nigerian consumer protection law that cannot lawfully be excluded or limited by agreement.

25.1 Good Faith Negotiation

If a dispute arises between you and Recurpot, both parties agree to first attempt to resolve the matter through good faith negotiation.

25.2 Mediation and Arbitration

If a dispute cannot be resolved through negotiation, it shall be referred to mediation, and if mediation fails, to binding arbitration. Arbitration and mediation proceedings may be conducted remotely.

25.3 No Court Proceedings

Except for actions to enforce an arbitration award or to seek injunctive relief, both parties agree not to bring a dispute before any court.

25.4 No Class Action

Disputes must be brought on an individual basis. Subscribers agree not to participate in any class action, class arbitration, or representative action against Recurpot.

25.5 Governing Law

These Terms and any dispute arising from them shall be governed by the laws of the Federal Republic of Nigeria.

We may send notices to you using the contact information you provided at subscription, including by phone, WhatsApp, or email. Notices to Recurpot should be sent through the contact channels listed in Section 18.

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or removed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

Our failure to enforce any provision of these Terms shall not be considered a waiver of our right to enforce that or any other provision in the future.

Recurpot may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, or sale of assets. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

These Terms are drawn up in English. Any translation provided is for convenience only, and the English version shall prevail in the event of any conflict.

Recurpot may update these Terms from time to time to reflect changes in our services, operations, or legal requirements. Continued use of Recurpot after any update constitutes acceptance of the revised Terms. We encourage subscribers to review this page periodically.

These Terms, together with our Privacy Policy and any order details confirmed at the time of subscription, represent the entire agreement between you and Recurpot regarding your use of our services.
